Nuehva provides UI/UX design, product strategy, frontend development, and related digital services. The specific scope of services will be outlined in a separate written agreement or proposal signed by both parties.

2. Client Responsibilities

Clients agree to:

  • Provide clear, complete, and timely information required for project completion.
  • Review and approve work within agreed timeframes.
  • Respect timelines and payment schedules outlined in the proposal or contract.

Failure to comply may result in delays or termination of the project.

3. Payments & Invoicing

  • All fees will be outlined in a written agreement or proposal.
  • A deposit may be required before the project begins.
  • Invoices are payable within [14/30] days of issue unless otherwise agreed in writing.
  • Late payments may incur interest or service suspension.

4. Intellectual Property

Unless otherwise stated:

  • Clients retain ownership of all materials they provide.
  • Nuehva retains ownership of design frameworks, concepts, and templates until full payment is received.
  • Upon final payment, intellectual property rights of the completed work transfer to the client, except for third-party tools or licenses.

5. Confidentiality

Both parties agree to maintain strict confidentiality over any non-public, proprietary information shared during the course of the project.

6. Revisions & Scope Changes

  • Reasonable rounds of revisions are included in project fees unless stated otherwise.
  • Major scope changes (e.g., new features, different design platforms) may require a new proposal or additional fees.

7. Termination

Either party may terminate the project with written notice. Upon termination:

  • Client must pay for all completed work and time incurred up to the date of termination.
  • All rights to unpaid work remain with Nuehva.

8. Warranties & Limitations

Nuehva provides services "as-is" and makes no guarantees on performance beyond the project scope. We are not liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of data, revenue, or business resulting from the use of our deliverables.

9. Third-Party Tools

Projects may utilize third-party services, software, or plugins. Nuehva is not responsible for updates, pricing changes, or service outages from these external providers.

10. Governing Law

These Terms are governed by the laws of [Your Jurisdiction – e.g., State of California / United Kingdom / etc.]. Any disputes shall be resolved in the courts of the applicable jurisdiction.
